How to Register a Company in Cambodia
Step-by-step guide to registering a private limited company in Cambodia, from name to bank account.
The most common structure for small and medium businesses is a Private Limited Company. This is the general process.
1. Choose a company name
Check that the name is available and does not conflict with an existing company.
2. Prepare the documents
You normally need passports or ID cards of directors and shareholders, the company address, the proposed business activities, and the share structure.
3. Register with the Ministry of Commerce
Submit the application, usually through the online business registration system. After approval you receive a Certificate of Incorporation.
4. Register for tax
Register with the General Department of Taxation to get your tax identification number and the required tax registration documents.
5. Get the patent and other licenses
Depending on your activity you may need a patent, a sector license (for example for restaurants, education, trading in regulated goods), and a municipal or provincial license.
6. Register with the Ministry of Labor and NSSF
If you hire staff, register your enterprise and your employees.
7. Open a business bank account
Banks usually ask for the incorporation papers, tax documents and ID of the directors.
Costs and time
these vary by structure and by whether you use a law or accounting firm. Ask for a written quote that lists government fees separately from service fees.
Foreign owners
foreigners can generally own a company, but some sectors have restrictions and foreigners cannot own land outright. Take professional advice before investing.
Rules and fees change often. Check the Ministry of Commerce and tax authority websites for current requirements.
